In the present terms and conditions, the term "seller" refers to Automobiles Dangel SAS, the term "buyer" refers to the customer of Automobiles Dangel SAS. All sales on our part are subject to the present terms and conditions, which, unless otherwise agreed, the purchaser is deemed to have accepted. The present conditions of sale prevail over any contrary stipulation emanating from our customers, whether general conditions of purchase or special conditions appearing on order forms.

General

Automobiles Dangel SAS reserves the right to make any change aimed at improving the equipment marketed, both technically and in terms of presentation, without any obligation to make said changes to the equipment previously marketed. Placing an order implies the buyer's full and unreserved acceptance of these terms and conditions of sale, and invalidates any other document supplied by the buyer.

Customer/distributor

Automobiles Dangel SAS, as an automobile manufacturer, cannot refuse, except for technical and regulatory reasons, an order for vehicle equipment and/or spare parts from a professional affiliated with one of the partner manufacturers' distribution networks. Similarly, Automobiles Dangel SAS undertakes not to market or distribute its products through the intermediary of a natural person or legal entity not affiliated to one of the partner networks, except with the written agreement of one of the partner manufacturers. Finally, sales by Automobiles Dangel SAS to private individuals must be made through one of the partner networks' distribution outlets.

Price

Prices quoted by our representatives or agents are not binding on Automobile Dangel SAS until confirmed in writing by our management. We reserve the right to revise the prices applicable to all current orders in the event of changes beyond our control, such as changes in customs tariffs, exchange rate fluctuations, strikes, fire, war or any case of force majeure. Prices are those in force at the time of delivery. They are ex-works, unless otherwise agreed.

Order

No order may be modified or cancelled without our written agreement. Unless expressly agreed in writing between the purchaser and the seller, order lead times are given as an indication only, and failure to meet them shall not give rise to any claim.

Deliveries

Delivery is made either by direct handover of the goods to the purchaser, by a notice of availability, or by delivery to a shipper or carrier on the seller's premises. The buyer is responsible for the goods and their delivery, and undertakes to take out insurance covering all risks of loss, theft, destruction or civil liability. Goods travel at the consignee's risk, even if delivered carriage paid at the lowest rate. In the event of deterioration of the material at the time of delivery, it is the responsibility of the purchaser to immediately express any reservations, in writing, to the carrier. Delivery times are given as an indication only, and failure to meet them may not give rise to damages, deductions or cancellation of orders in progress. Packaging may not be taken back, except by prior agreement. In the case of special packaging (sea, air, ship...), this will be invoiced to the customer.

Payment

Penalties of at least one and a half times the legal interest rate will be applied to any payment made after the due date. All invoices recovered by our legal department will be subject to a non-reducible penalty of 40 Euros and a flat-rate penalty of 15%. Invoices of less than 50 Euros exclusive of tax will be increased by 5 Euros exclusive of tax to cover administrative costs. Our invoices are payable on order, unless otherwise agreed with our representative or agent and confirmed by the management of Automobiles Dangel SAS.

Reservation of ownership

Notwithstanding the above provisions relating to delivery and transfer of risk, the goods sold remain our property until all outstanding invoices have been paid in full. In this respect, we reserve the right to demand the return of goods at the buyer's expense, risk and peril. Invoices paid by cheque are not considered settled until they have been cashed.

Jurisdiction

In the event of a dispute concerning the interpretation or execution of these conditions, the dispute must be brought before the courts of Mulhouse, which has sole jurisdiction, even in the event of a warranty claim, multiple defendants or contrary stipulations in the co-contractor's documents.

Warranty and after-sales service

Our equipment is guaranteed for 2 years parts and labor, unlimited mileage, from the date of warranty registration (first registration or 6 months after production). In addition, Dangel offers a warranty extension of up to 5 years (or 150,000 kms). See prices. Our parts are guaranteed for 1 year, parts and labor, from receipt of order. However, defects or deterioration caused by incorrect assembly, misuse, negligent maintenance, natural wear and tear, external accidents (incorrect assembly, faulty maintenance, abnormal use, etc.), modifications to the product not foreseen or specified by the seller, as well as consumable parts such as tires, etc., are excluded from the warranty.

Extended warranty

The extended warranty applies to all Dangel components, excluding wear parts, and covers parts and labor, according to the repair rates defined after written agreement. Only Dangel parts are authorized for repair of Dangel equipment. Failure to comply with the conditions of use defined in the operating and maintenance manual will invalidate the warranty and its extension. Failure to follow the maintenance schedule outlined in the user manual will void the extended warranty. Maintenance must be carried out by a car dealer and must be supported by invoices. Exceeding the maximum mileage will terminate the warranty extension (3 years 100,000kms, 4 years 120,000kms or 5 years 150,000kms).
